Terms of Service

These Terms of Service ("Terms") govern your use of the jeanius.ai website and the services provided by Jeanius AI ("we," "us," or "our"). By using our website or engaging our services, you agree to these Terms.

1. Services

Jeanius AI provides custom AI infrastructure installation and ongoing maintenance for businesses. Our services include, but are not limited to:

  • Free AI audit and business analysis
  • Custom AI automation system design and installation
  • System integration across business operations
  • Monthly maintenance retainer for ongoing optimization

The specific scope of work for each engagement is defined in a separate Statement of Work (SOW) agreed upon by both parties before work begins.

2. Engagement Process

All engagements begin with a free AI audit. If both parties agree to proceed, a Statement of Work is prepared outlining the scope, timeline, deliverables, and fees. Work begins only after the SOW is signed and any applicable initial payment is received.

3. Payment Terms

  • Installation Fee: A one-time fee for the design and build of your custom AI infrastructure, as specified in the SOW. Payment is due according to the schedule defined in the SOW.
  • Monthly Retainer: An ongoing monthly fee for system maintenance, optimization, and support. Billed on a recurring basis as specified in the SOW.
  • Refunds: Installation fees are non-refundable once work has commenced. Monthly retainer fees may be cancelled with 30 days written notice.
  • Payment Processing: All payments are processed securely through Stripe. By making a payment, you also agree to Stripe's terms of service.

4. Scope of Work

The scope of each project is defined in the signed SOW. Work outside the defined scope may incur additional fees, which will be communicated and agreed upon before additional work begins. Changes to the SOW require written agreement from both parties.

5. Intellectual Property

  • Client Data: You retain full ownership of your business data, content, and any proprietary information you provide to us during the engagement.
  • Jeanius Methodology: We retain ownership of our methodologies, processes, workflow templates, and proprietary systems. You receive a license to use the systems we build for you, but the underlying architecture patterns, templates, and methods remain our intellectual property.
  • Deliverables: The custom workflows, automations, and configurations built specifically for your business are yours to use for the duration of your engagement and after, subject to the terms of your SOW.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes, but is not limited to, business processes, financial information, client lists, and system architecture details. This obligation survives the termination of the engagement.

7. Client Responsibilities

To ensure successful delivery, you agree to:

  • Provide timely access to necessary accounts, systems, and information
  • Respond to communications and requests within a reasonable timeframe
  • Designate a point of contact for the project
  • Not modify or interfere with installed systems without consulting us first, as this may impact system stability

8. Limitation of Liability

To the maximum extent permitted by law, Jeanius AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services. Our total liability for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available." While we strive to deliver high-quality, reliable systems, we do not warrant that our services will be uninterrupted, error-free, or that they will meet every specific requirement not outlined in the SOW. We are not responsible for downtime, changes, or service disruptions caused by third-party platforms (including but not limited to Google, Notion, Stripe, or n8n).

10. Termination

  • By Client: You may terminate the monthly retainer with 30 days written notice. Installation projects may be terminated according to the terms of the SOW.
  • By Jeanius AI: We may terminate services with 30 days written notice, or immediately in the event of a material breach of these Terms.
  • Effect of Termination: Upon termination, we will provide you with all deliverables completed to date. Access to maintenance and support will cease at the end of the notice period.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
